Additional Legal and Financial Provisions

    • Non-profit operation: The corporation will be operated on a not-for-profit basis for its members, and any profits or accruals will be used to further the purposes of the corporation.
    • Powers of the Board of Directors:
      • Obtain loans in the name of the corporation.
      • Issue, reissue, sell, pawn or mortgage debt obligations of the corporation.
      • To mortgage, pledge, or otherwise create a security interest in all or part of the property of the corporation, acquired or subsequently acquired, to secure any debt obligation of the corporation.
    • Compensation of Directors: Directors will serve without compensation, and will not receive direct or indirect benefits from their position, although they may be reimbursed for reasonable expenses incurred in the performance of their duties. Directors are not prohibited from receiving compensation for services rendered to the corporation in another capacity.
    • Appointment of Additional Directors: The directors may appoint one or more additional directors for a term that will expire no later than the close of the next annual general meeting of members, although the total number of directors appointed may not exceed one third of the number of directors elected at the previous annual general meeting of members.
